Welcome to HealthTalk's website ("healthtalk.ai"). These Terms and Conditions ("Terms") govern your use of our Site and services, so please read them carefully. By accessing or using our Site and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site and services.

1. Acceptance of Terms

By accessing or using the Site and services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this Site and services. The materials contained in this Site and provided through our services are protected by applicable copyright and trademark law.

2. Service Description

HealthTalk provides Software as a Service (SaaS) that leverages Large Language Models (LLMs) to offer insights into conversations between doctors and patients, and to power our chatbot. The services are accessed via the internet and available under a commercial license after payments.

3. Use License

Permission is granted to access the materials and services on HealthTalk's Site for commercial use and after payment only. This is the grant of a license, not a transfer of title, and under this license, you may not:

  • modify or copy the materials;
  • use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
  • attempt to decompile or reverse engineer any software contained on HealthTalk's Site;
  • remove any copyright or other proprietary notations from the materials; or
  • transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by HealthTalk at any time. Upon terminating your access to these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

4. AI Act Compliance

HealthTalk uses LLMs to generate insights and summaries of conversations between doctors and patients, as well as to power our chatbot. These applications are considered "high risk" under the AI Act and are subject to strict regulatory standards to ensure safety and compliance. HealthTalk ensures that all AI applications are compliant with the AI Act, maintaining transparency, accountability, and oversight in their deployment and use.

5. Limitations

In no event shall HealthTalk or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on HealthTalk's Site, even if HealthTalk or a HealthTalk authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

6. Revisions and Errata

The materials appearing on HealthTalk's Site could include technical, typographical, or photographic errors. HealthTalk does not warrant that any of the materials on its Site are accurate, complete, or current. HealthTalk may make changes to the materials contained on its Site at any time without notice. However, HealthTalk does not make any commitment to update the materials.

HealthTalk has not reviewed all of the sites linked to its Site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by HealthTalk of the site. Use of any such linked website is at the user's own risk.

8. Modifications to Terms of Use

HealthTalk may revise these Terms for its Site and services at any time without notice. By using this Site and services, you are agreeing to be bound by the then current version of these Terms.

9. Governing Law

Any claim relating to HealthTalk's Site and services shall be governed by the laws of the Netherlands, without regard to its conflict of law provisions.

10. Subscription and Payment

By subscribing to our services, you agree to pay the subscription fees indicated for that service. Payments will be charged on a pre-pay basis on the day you sign up and will cover the use of that service for the indicated subscription period. Unless you notify HealthTalk before the end of the applicable subscription period that you want to cancel, your subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee for such services. Subscription fees are non-refundable, except as required by law.

11. User Responsibilities

You are responsible for maintaining the security of your account and for all activities that occur under the account. You agree to notify HealthTalk immediately of any unauthorized use of your account or any other breach of security. You agree not to use the services to upload, post, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

12. Data Privacy

Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

13. Healthcare Provider Responsibility

The intended use of HealthTalk's services is to assist healthcare providers in the medical process. Under no circumstances are these services intended to replace the healthcare provider. The healthcare provider will always be the end responsible for the medical decisions and use of the insights generated by HealthTalk's services.

14. Termination

HealthTalk reserves the right to terminate your access to the Site and services without any advance notice if you fail to comply with these Terms.
